These Terms & Conditions ("Terms") form a legally binding agreement between you and the platform. They apply to everyone who uses the platform โ€” whether you are a Customer placing an order or a Bakery selling through your own online storefront. By creating an account, listing products, or placing an order, you confirm that you have read, understood and agree to these Terms. If you do not agree, please do not use the platform. 1. Definitions "Platform" means this website, its storefronts and related services. "We", "us" and "our" refer to the operator of the Platform. "Bakery" or "Seller" means a business that registers to list and sell products. "Customer" or "Buyer" means a person who browses or places an order. "Order" means a request placed by a Customer for one or more products from a Bakery. "Content" means any text, image, review or other material uploaded to the Platform. 2. Our Role โ€” a Marketplace, not the Seller The Platform is a technology marketplace that connects Customers with independent Bakeries. We are an "intermediary" under the Information Technology Act, 2000. We do not bake, own, sell, store, handle or deliver any food product ourselves. Every Order is a direct contract between the Customer and the Bakery that fulfils it. The Bakery โ€” not the Platform โ€” is solely responsible for the preparation, quality, safety, packaging, pricing, delivery and after-sale service of its products. 3. Eligibility & Accounts You must be at least 18 years old, or use the Platform under the supervision of a parent or guardian, and be capable of entering into a legally binding contract. You agree to provide accurate, current and complete information and to keep it updated. You are responsible for all activity under your account and for keeping your password and any one-time codes (OTP) confidential. Notify us immediately of any unauthorised use. We may verify, suspend or close accounts that appear fraudulent, abusive, or in breach of these Terms. โ€” CUSTOMER TERMS โ€” 4. Browsing & Placing Orders Product names, photos, descriptions, prices, availability, delivery areas and timings are set and controlled by each Bakery and may change at any time. Photos are indicative; handmade products may vary slightly in appearance. An Order is an offer to purchase; the contract is formed when the Bakery accepts it. The Bakery may decline an Order (for example, if an item is unavailable or outside its delivery range) and, where possible, will give a reason. 5. Prices, Charges & Payment The price you pay includes the product price and any applicable delivery fee and taxes shown at checkout. Delivery fees may be calculated by distance from the Bakery. Payments for Orders are collected for and on behalf of the Bakery โ€” typically through UPI/QR, a supported payment gateway (e.g. Razorpay) or another method offered by the Bakery. We do not store your full card or banking credentials; payments are handled by the relevant payment processor under its own terms. 6. Delivery & Pickup Delivery is performed by the Bakery or its delivery partner. Estimated times are indicative and not guaranteed; they may be affected by traffic, weather, demand or other factors. You must provide an accurate delivery address and location and ensure someone is available to receive the Order. A delivery confirmation code (OTP) may be used to confirm hand-over. If delivery fails because of incorrect details or unavailability, the Bakery may not be obliged to re-deliver or refund. 7. Custom & Advance Orders For custom products (such as custom cakes), the advance date, personal message and any reference photo you provide form part of your Order. Because these are made specifically for you, they may be non-cancellable and non-refundable once preparation has begun. Reference photos are a guide; the final product is the Bakery's interpretation. 8. Cancellations & Refunds (Customers) You may cancel an Order while it is still "pending" and within any window shown at checkout. Once a Bakery has accepted or begun preparing an Order, cancellation may not be possible. Refunds, where applicable, are decided and issued by the Bakery that fulfilled the Order and are processed through the original payment method. Refund requests can be raised from your account and are reviewed by the Bakery. We may help facilitate communication but do not guarantee any refund, as the funds and the decision rest with the Bakery. 9. Food Safety & Allergens Food is prepared in the Bakery's own premises, which may handle common allergens such as wheat/gluten, eggs, milk, nuts, soy and others. If you have an allergy or dietary requirement, you must check with the Bakery before ordering and rely on its information. Veg/non-veg and dietary labels are provided by the Bakery. The Platform does not independently verify ingredients and is not responsible for allergic reactions or dietary outcomes. โ€” BAKERY (SELLER) TERMS โ€” 10. Listing & Conduct As a Bakery you are an independent business, not our employee, agent or partner. You are solely responsible for: holding a valid FSSAI registration/licence and any other licences required by law; the accuracy of your listings, prices, stock, photos and delivery areas; compliance with food safety, hygiene, labelling, weights-and-measures and tax laws (including GST where applicable); and fulfilling accepted Orders promptly and as described. You must not list unlawful, unsafe, misleading or infringing items. 11. Subscriptions, Trials & Fees Bakeries may use the Platform on a free trial and thereafter on a paid subscription plan. Plan features and prices are shown on the pricing page and may change with reasonable notice. Subscription fees are billed in advance (e.g. via Razorpay recurring billing) and, once a plan period is active, are non-refundable for the remaining period except where required by law. If a subscription expires or payment fails, your dashboard may become read-only and your storefront may be paused until renewal. 12. Payments to Bakeries & Taxes Order payments are received directly by you (or settled to you by the relevant payment processor) under that processor's terms; the Platform does not hold your sales proceeds unless expressly stated. You are responsible for issuing any invoices and for collecting and remitting all taxes due on your sales. You authorise us to display your business name, storefront, products and related information to Customers as needed to operate the service. 13. Bakery Cancellations & Refunds You should keep listings and availability accurate to avoid cancellations. Where you cancel an accepted Order or a Customer is entitled to a refund, you are responsible for issuing it. Repeated cancellations, late fulfilment, poor ratings or complaints may affect your visibility on the Platform or lead to suspension. โ€” TERMS FOR EVERYONE โ€” 14. Reviews, Ratings & Content Customers may rate and review Orders. Reviews must be honest, based on a genuine experience, and must not be abusive, defamatory, false or paid-for. You grant us a non-exclusive, royalty-free licence to host, display and use Content you upload (such as photos, reviews and storefront media) for operating and promoting the service. You confirm you own or have the rights to the Content you upload. We may remove Content that breaches these Terms or the law. 15. Acceptable Use You agree not to: misuse the Platform or interfere with its operation or security; use it for any unlawful, fraudulent or harmful purpose; upload viruses or malicious code; scrape, copy or harvest data without permission; impersonate others; circumvent fees; or place fake orders or post fake reviews. We may investigate and take action, including suspension and reporting to authorities. 16. Intellectual Property The Platform, its software, design, logos and trademarks belong to us or our licensors and may not be copied or used without permission. Bakery names, logos and Content remain the property of their respective owners. 17. Disclaimers The Platform is provided "as is" and "as available" without warranties of any kind, to the extent permitted by law. We do not warrant that the service will be uninterrupted, error-free or secure, or that listings, prices or availability are always accurate. As an intermediary, we do not endorse any Bakery and make no warranty about the quality, safety or legality of any product or the ability of any Bakery to fulfil Orders. 18. Limitation of Liability To the maximum extent permitted by law, the Platform is not liable for any loss or damage arising from: the acts or omissions of any Bakery or Customer; the quality, safety, delivery or non-delivery of any Order; or any dispute between a Customer and a Bakery. Our total aggregate liability to you for any claim relating to the service is limited to the amount of fees (if any) you paid to us in the three (3) months before the event giving rise to the claim. We are not liable for indirect, incidental or consequential losses. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including the Consumer Protection Act, 2019. 19. Indemnity You agree to indemnify and hold harmless the Platform and its operators from any claims, damages, losses or expenses (including reasonable legal fees) arising from your breach of these Terms, your Content, your products or Orders, or your violation of any law or third-party right. 20. Suspension & Termination You may stop using the Platform at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure, or for prolonged inactivity. Provisions that by their nature should survive termination (such as payments owed, IP, disclaimers, liability and indemnity) will continue to apply. 21. Privacy We process personal data in accordance with our Privacy Policy and applicable law, including the Digital Personal Data Protection Act, 2023. Necessary order and contact details are shared between Customer and Bakery solely to fulfil Orders. 22. Grievance Redressal In accordance with the Information Technology Act, 2000 and the rules thereunder, complaints regarding Content or use of the Platform may be sent to our Grievance Officer via the Contact page. We will acknowledge complaints within the timelines prescribed by law and endeavour to resolve them promptly. 23. Governing Law & Dispute Resolution These Terms are governed by the laws of India. Subject to applicable consumer-protection rights, the courts at the location of the Platform operator's registered office shall have exclusive jurisdiction. The parties will first attempt to resolve any dispute amicably through the grievance process; unresolved disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated in India and conducted in English. 24. Changes to these Terms We may update these Terms from time to time. Material changes will be notified by posting the updated Terms with a revised "Last updated" date. Continued use of the Platform after changes take effect means you accept the latest version. 25.
